Terms of Service

1. Agreement

These terms are a contract between Venture Stream Ltd ("CommerceLift", "we") and the business creating an account ("you"). By creating an account or installing the Shopify app you accept these terms on behalf of your business.

2. The service

CommerceLift imports your product catalogue, applies the rules, overrides and AI enrichment you configure, and generates product feeds for the channels you select. We may add, change or retire features; we will not materially reduce the core service during a paid term without notice.

3. Accounts & roles

You are responsible for your users, their access levels (admin, manager, client) and activity under your account. Keep credentials secure and notify us promptly of any unauthorised use.

4. Trials, billing & cancellation

Every plan includes a 14-day free trial; no charge applies if you cancel within the trial. Subscriptions are billed monthly in advance and renew automatically. Shopify App Store installs are billed through Shopify Billing on the CL Core and CL Pro plans. You may upgrade, downgrade or cancel at any time; cancellation takes effect at the end of the current billing period. Fees are non-refundable except where required by law.

5. Plan limits

Each plan carries limits on users, feeds and products per feed as published on the pricing page. We may ask you to move to a suitable plan if usage consistently exceeds your plan's limits.

6. Your data & acceptable use

You retain all rights to your catalogue data. You grant us a licence to process it solely to provide the service. You must have the right to the data you import, and you must not use the service to distribute unlawful, infringing or deceptive product listings, or to violate the policies of connected channels.

7. AI-generated content

AIMatch suggestions (titles, categories, attributes) are generated automatically and may contain errors. You are responsible for reviewing enriched data before publishing it to channels.

8. Availability & support

We aim for high availability but do not guarantee uninterrupted service. Support level (email, priority chat, dedicated, account manager) follows your plan. Planned maintenance is announced in advance where practical.

9. Liability

To the maximum extent permitted by law, our total liability in any 12-month period is capped at the fees you paid in that period, and neither party is liable for indirect or consequential loss. Nothing limits liability for fraud or where liability cannot be limited by law. We are not responsible for decisions made by connected channels (e.g. Merchant Center suspensions).

10. Termination

You can cancel at any time from your account. We may suspend or terminate accounts that materially breach these terms, with notice where reasonable. On termination your feed URLs stop serving and catalogue data is deleted per our Privacy Policy.

11. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Questions: hello@commercelift.uk.
